Terms of Service

PLEASE READ THESE TERMS CAREFULLY. These Terms of Service (the "Terms") form a binding contract between you and See You There LLC, d/b/a Find Your People ("FYP," "we," "us," or "our"). They govern your access to and use of the FYP website, mobile applications, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Section 16 contains a binding arbitration agreement and a class action waiver that apply to most disputes between you and FYP, and it explains how you may opt out of arbitration within thirty (30) days. Please review them carefully.
1. Eligibility and Account Registration
1.1 Age Requirement
The Service is intended only for individuals who are at least 18 years of age. If you are under 18, you are not authorized to access or use the Service for any purpose. By using the Service, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into a binding contract, and that your use of the Service does not violate any applicable law. We may, in our sole discretion, refuse service, terminate accounts, or remove content if we believe you are under 18. If you misrepresent your age to access the Service, that is a material breach of these Terms and is grounds for immediate termination of your account, forfeiture of any pending refunds, payouts, or balances, and any other remedies available to FYP at law or in equity. If at any time you provide a date of birth that indicates you are under 18, your account will be suspended pending verification, and we may delete your account if we cannot verify that you are 18 or older.
1.2 Account Registration
To use most features of the Service, you must register for an account. You agree to (a) provide accurate, current, and complete information; (b) maintain and promptly update that information; (c) keep your login credentials confidential; (d) be responsible for all activity under your account, whether or not authorized; and (e) notify us immediately of any unauthorized access. We may verify your identity by phone, email, or other means and may suspend or terminate your account if we cannot verify it or if we believe your information is inaccurate.
1.3 One Account Per Person
Unless we expressly authorize otherwise, you may maintain only one account, and you may not transfer your account to another person.
2. The Service and Our Role
2.1 What FYP Does
FYP is a technology platform that allows users to (a) create, host, and promote events; (b) invite guests and manage RSVPs; (c) sell tickets and accept payments for paid events; and (d) discover, attend, and interact with events organized by other users. "Hosts" are users who create events. "Guests" are users who attend or RSVP to events. You may act as both a Host and a Guest.
2.2 FYP Is Not the Event Organizer
FYP is not the creator, organizer, sponsor, owner, or operator of any event listed on the Service, and we are not the seller of any ticket, product, or service offered through an event. Hosts are solely responsible for their events, including event content, descriptions, accuracy, scheduling, performance, cancellations, postponements, refunds, venue safety, compliance with law, and conduct at the event. We do not control and are not responsible for the actions or omissions of any Host, Guest, venue, vendor, or other third party.
2.3 Limited Payment Agent
When FYP processes payment for a paid event, FYP acts solely as the Host's limited agent for the purpose of accepting and remitting funds from Guests. FYP's acceptance of payment from a Guest satisfies the Guest's payment obligation to the Host, but FYP is not the seller of the ticket, product, or experience and does not assume any of the Host's obligations relating to the event itself.
3. Payments, Fees, and Payouts (Hosts)
3.1 Payment Processing
Paid-event payments are processed by our third-party payment processor (currently Stripe). To accept payments, Hosts must create and maintain a connected payment account and agree to the processor's terms, including the Stripe Services Agreement and the Stripe Connected Account Agreement. Hosts are responsible for completing all identity verification (KYC) and beneficial-ownership (KYB) requirements and providing accurate banking and tax information.
3.2 FYP Service Fees
We may charge service fees, payment-processing fees, or other fees for the Service. Current fees are described on our website or in your Host dashboard and may be updated from time to time. Unless we expressly state otherwise, FYP service fees are non-refundable, including in the event of an event's cancellation, postponement, or non-performance. FYP and Hosts will display the total price for any paid event (including all mandatory FYP service fees and Host-set mandatory fees) at the point at which the price is first shown to a Guest, in compliance with applicable pricing-disclosure laws, including California Civil Code § 1770(a)(29) and the Federal Trade Commission's Rule on Unfair or Deceptive Fees.
3.3 Payouts
Subject to the rest of these Terms, we will pay out the proceeds of completed ticket sales to the Host, less applicable fees, refunds, chargebacks, and reserves, on the schedule disclosed in the Host dashboard (typically seven (7) days following the event). FYP holds ticket proceeds and does not release them to the Host until after the event has occurred. This enables FYP to process refunds to Guests under Section 4.2 when required. We may delay, withhold, offset, or reverse a payout if we reasonably believe (a) an event has been or will be cancelled, postponed, or materially altered; (b) there is a high risk of refunds, chargebacks, fraud, or unauthorized activity; (c) Host has violated these Terms; or (d) we are required to do so by law.
3.4 Reserves and Setoff
We may, in our reasonable discretion, hold back a portion of payouts as a reserve based on chargeback risk, refund history, or other factors. We may set off any amount you owe us (including chargebacks, refunds, fees, taxes, or indemnification obligations) against any payout otherwise due to you, whether arising from the same event or any other event.
3.5 Taxes
Hosts are solely responsible for determining, collecting, reporting, and remitting any sales, use, value-added, amusement, or other taxes arising from their events and ticket sales. Where required by law, we may issue tax forms (such as IRS Form 1099-K) and may withhold or report amounts to taxing authorities. Where applicable marketplace facilitator laws require FYP to collect and remit certain sales, use, occupancy, or admissions taxes on behalf of Hosts, FYP may do so. In such cases, the amount collected will be reflected in Host payouts, and FYP will provide reasonable information to Hosts about taxes collected and remitted on their behalf. Hosts remain responsible for all other applicable taxes.
3.6 Prohibited Transactions
You may not use the Service to sell tickets to or facilitate any of the following:
- Cannabis, CBD, controlled substances, or drug paraphernalia, even where state-legal;
- Firearms, ammunition, explosives, or weapons;
- Adult or sexually explicit content or services, including prostitution, escort services, commercial sexual companionship, sugar-dating arrangements, or any conduct prohibited by 18 U.S.C. §§ 1591 or 2421A;
- Gambling, raffles, sweepstakes, or lotteries;
- Cryptocurrency, securities, money transmission, or investment products;
- Counterfeit, stolen, or pirated goods;
- Events that violate applicable law or that we determine, in our reasonable discretion, present an unacceptable safety, legal, or reputational risk.
3.7 Host Responsibilities Summary
If you act as a Host, your obligations under these Terms include those described in Sections 2.2 (event responsibility), 3 (payments, fees, payouts, taxes, and prohibited transactions), 4 (refunds and chargebacks), 5 (host responsibility), and 14 (indemnification). You agree to comply with all of them. Failure to do so is a material breach of these Terms and may result in account suspension, termination, withholding of payouts, or other remedies available to FYP.
4. Refunds and Cancellations
4.1 Host Refund Policy
When creating a paid event, Hosts select a refund policy from FYP's available options, which currently include: (a) the platform default, under which refunds are available up to twenty-four (24) hours before the event start; (b) no refunds within seven (7) days of the event start; or (c) all sales final. The selected policy applies to attendee-initiated refund requests for that event. Regardless of the policy a Host selects, FYP enforces platform-level cutoffs described in Section 4.2 below, and Hosts may issue courtesy refunds to their own attendees on a discretionary basis subject to those cutoffs. Hosts are solely responsible for honoring their stated policy.
4.2 Platform-Level Refund Rules
FYP holds ticket proceeds for each paid event and does not release them to the Host until after the event occurs. Because the funds remain available, FYP is able to process the following refunds on the Host's behalf. Notwithstanding any refund policy a Host selects, the following platform-level rules apply:
(a) Cancellation. If an event is cancelled for any reason — including force majeure — Guests are entitled to a full refund of the ticket price. FYP will process such refunds on the Host's behalf from the proceeds held for that event.
(b) Postponement (non-force-majeure). If a Host postpones an event for reasons within the Host's control and does not announce a rescheduled date within ninety (90) days of the postponement, Guests are entitled to a full refund. FYP may process such refunds on the Host's behalf.
(c) Postponement (force majeure). In the event of a postponement due to force majeure circumstances — including natural disaster, government action, venue closure, public health emergency, or other similar unforeseeable events — the Host is solely responsible for all refund decisions and communications with Guests. FYP assumes no liability for any such postponement.
(d) Other FYP-initiated refunds. FYP may also, in its reasonable discretion, issue refunds where an event materially differs from how it was advertised, where we receive credible reports of fraud, illegality, or significant safety issues, where our fraud-detection systems or payment processor flag a transaction, or where required by law or payment-network rule.
Platform cutoffs. Regardless of the above, the following timing cutoffs apply to attendee-initiated refund requests: refunds are not available within twenty-four (24) hours before the scheduled event start; refunds are not available after the event has begun; and refunds requested within seven (7) days after the event end may require FYP administrative review.
Guests agree that refunds processed under this Section may be deducted from amounts otherwise payable to the Host or recovered through setoff or other lawful means.
4.3 Chargebacks
If a Guest initiates a chargeback, the Host is responsible for the disputed amount and any associated chargeback fees. We may withhold or recover those amounts from current or future payouts. We may, but are not required to, contest chargebacks on the Host's behalf.
4.4 Guest Acknowledgment
Guests acknowledge that the Host's posted refund policy controls except where these Terms or applicable law require otherwise, and that FYP service fees may be non-refundable.
4.5 Force Majeure (Platform Performance)
FYP will not be liable for any delay or failure to perform its platform obligations caused by circumstances beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil disturbances, labor disruptions, internet or utility outages, or governmental action. This Section addresses FYP's performance of the Service as a platform only. Guest refund rights in connection with the cancellation or postponement of an event are governed by Section 4.2, not this Section.
4.6 FYP Discretionary Refund Authority
FYP reserves the right, at its sole discretion, to issue refunds outside the normal refund policy in cases of fraud, Host non-performance, material misrepresentation by the Host, repeated quality or safety complaints, or other circumstances FYP determines warrant a refund. This authority is intended as a consumer protection measure and may be exercised without Host consent. FYP may, but is not obligated to, recover such refunds from the Host's pending payouts or any reserve holdback described in Section 3.4, consistent with Section 4.2.
5. Host Responsibility
Hosts are solely responsible for compliance with all applicable laws governing their events, including laws relating to alcohol service, licensing, permits, age verification, venue requirements, and attendee safety. FYP does not sell or serve alcohol, does not verify attendee eligibility, and assumes no liability for any harm, injury, illness, property damage, or other loss arising from any event listed on the Service.
6. Acceptable Use and Prohibited Conduct
You also agree to follow our Community Guidelines, which are incorporated into these Terms by reference and which describe our content and conduct rules in plain language. We may update the Community Guidelines from time to time.
You agree not to do any of the following on or through the Service:
- Violate any applicable law, regulation, or third-party right;
- Use the Service to harass, threaten, defame, stalk, dox, impersonate, or harm any person;
- Post or share content that is illegal, fraudulent, defamatory, hateful, sexually explicit, violent, or harmful to minors;
- Collect, harvest, or scrape information about other users without their consent or our written permission;
- Use bots, crawlers, scrapers, or other automated means to access the Service, except for publicly documented APIs or as permitted by our robots.txt;
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by law;
- Bypass, disable, or interfere with security, rate-limiting, age-gating, or other protective features of the Service;
- Send spam, unsolicited commercial communications, chain messages, or pyramid or referral schemes that violate law;
- Send SMS, email, or other communications to recipients who have not consented or who have opted out;
- Use the Service to host events that are unlawful, discriminatory, or that present a serious safety risk;
- Promote, facilitate, advertise, arrange, or engage in prostitution, escort services, commercial sexual companionship, sugar-dating arrangements, or any other exchange of sexual conduct for money, goods, or services;
- Engage in or facilitate sex trafficking, forced labor, or any conduct that violates 18 U.S.C. §§ 1591, 2421A, or related federal or state anti-trafficking laws;
- Resell, transfer, or sublicense your account, or list tickets for resale on third-party marketplaces in violation of these Terms or the Host's rules;
- Misrepresent your identity, age, affiliation, or sponsorship; or
- Attempt to do any of the above or assist anyone else in doing so.
We may, but are not required to, monitor or review user content. We may remove content, suspend features, or terminate accounts that we reasonably believe violate these Terms.
7. Anti-Scraping; No Use for AI Training
You may not, and may not authorize, encourage, or assist any third party to: (a) access, copy, scrape, harvest, index, crawl, mirror, or otherwise extract data, content, or output from the Service using any automated means, including bots, spiders, scripts, agents, headless browsers, or other software or hardware tools, except through publicly documented APIs in compliance with their published terms; (b) circumvent or attempt to circumvent any rate limit, access control, authentication mechanism, CAPTCHA, robots.txt directive, paywall, or other technical or contractual measure intended to prevent or restrict access; (c) use the Service or any data, content, or output obtained from or through the Service to train, fine-tune, evaluate, benchmark, validate, or otherwise develop any artificial-intelligence, machine-learning, or generative model, except with our express prior written consent or as required by applicable law; (d) reproduce, republish, redistribute, or commercialize any data obtained from the Service in a manner that competes with the Service or that creates a substitute database, directory, or feed of users, hosts, events, or other Service information; or (e) aggregate, sell, license, or otherwise transfer to a third party any data obtained from the Service.
A violation of this Section is a material breach of these Terms and may result in immediate account termination, technical countermeasures (including IP and device blocking), forfeiture of any pending payouts, and a claim by FYP for injunctive relief and damages, including under the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Defend Trade Secrets Act (18 U.S.C. § 1836), the Digital Millennium Copyright Act, and applicable state laws. Each unauthorized automated request constitutes a separate violation. You acknowledge that damages from unauthorized scraping or AI-training use may be difficult to calculate and are likely to exceed the limits set forth in Section 15, and FYP reserves the right to seek liquidated damages, statutory damages, and attorneys' fees.
8. User Content and License to FYP
8.1 Your Content
"User Content" means any content you submit, post, upload, or otherwise make available through the Service, including event descriptions, photos, comments, messages, and profile information. You retain ownership of your User Content, subject to the licenses below.
8.2 License to FYP
You grant FYP a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works of, publish, publicly perform, publicly display, and otherwise use your User Content for the purposes of operating, providing, improving, and promoting the Service. This license continues for as long as your User Content is on the Service and for a reasonable wind-down period after removal.
8.3 License to Other Users
When you make User Content publicly available (for example, by posting a public event), you grant other users of the Service a non-exclusive license to access and use that content as permitted through the Service's ordinary functionality.
8.4 Your Representations
You represent and warrant that, for all User Content you submit:
- You own or have all rights necessary to grant the licenses in this Section;
- Your User Content does not infringe or violate any third party's intellectual property, privacy, publicity, contractual, or other rights;
- You have obtained all consents required to submit images, names, and contact information of any third party (including imported guest lists).
8.5 Feedback
If you send us suggestions, ideas, or other feedback, we may use them without obligation or compensation to you.
9. Our Intellectual Property
The Service, including all software, code, designs, text, graphics, logos, and trademarks, is owned by FYP or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purposes, subject to these Terms. All rights not expressly granted are reserved.
10. Copyright Complaints (DMCA)
We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice to our Designated Agent that complies with 17 U.S.C. § 512(c)(3), including (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material with sufficient detail to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act.
Designated Agent: See You There LLC, d/b/a Find Your People, Attn: DMCA Agent, 8 The Green, Suite A, Dover, DE 19901, support@findyourpeople.co. You may submit a counter-notice that satisfies 17 U.S.C. § 512(g)(3). We will terminate accounts of repeat infringers in appropriate circumstances.
11. Privacy, Communications, and SMS
11.1 Privacy Policy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
11.2 Email and Push Notifications
We may send you transactional and service-related communications. You may opt out of non-essential marketing communications using the unsubscribe links or in-app controls.
11.3 SMS Messaging
By providing your mobile number and opting in, you agree to receive recurring SMS or MMS messages from FYP, including event invitations, RSVP reminders, two-factor authentication codes, and notifications. Message and data rates may apply. Reply HELP for help, STOP to cancel. Consent is not a condition of any purchase. We may message you even if your number is on a do-not-call list, to the extent permitted by your prior express consent. SMS opt-in data will not be shared with third parties for their marketing purposes.
11.4 Imported Contacts
If you import or upload another person's contact information (for example, to invite them to an event), you represent that you have the legal right to do so and any consent required by law to send them messages through the Service.
12. Third-Party Services and Links
The Service may contain links to or integrations with third-party services (such as payment processors, calendar providers, mapping services, social platforms, and venues). We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.
13. Assumption of Risk and Release
You understand and acknowledge that attending or hosting in-person events involves inherent risks, including the risk of personal injury, illness, death, property damage, and exposure to communicable diseases. You freely and voluntarily assume all such risks, known and unknown, arising from your attendance at, hosting of, or participation in any event discovered through or listed on the Service.
To the maximum extent permitted by law, you release, waive, and discharge FYP and its affiliates, officers, directors, employees, contractors, and agents (the "FYP Parties") from any and all claims, demands, damages, liabilities, costs, and causes of action of any kind, whether known or unknown, arising from or relating to your attendance at, hosting of, or participation in any event, including claims for personal injury, death, or property damage, and whether caused by the negligence of any party or otherwise. This release does not apply to claims arising from the FYP Parties' own gross negligence or willful misconduct, or to any liability that cannot be released under applicable law.
If you are a California resident, you expressly waive the protections of California Civil Code § 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You acknowledge that you may later discover claims or facts in addition to or different from those you now know or believe to exist, but you nevertheless intend to fully and finally release all such claims to the extent permitted by law.
14. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless FYP and its affiliates, officers, directors, employees, contractors, and agents (the "FYP Parties") from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your User Content; (c) any event you host, attend, organize, promote, or participate in through the Service, including injury, illness, property damage, alcohol service, or violation of law; (d) your violation of these Terms or any applicable law; (e) your violation of any third-party right, including intellectual-property, privacy, publicity, or contract rights; (f) any chargeback, refund, or tax obligation arising from a paid event you host; and (g) any dispute between you and another user. We may, in our sole discretion, control the defense and settlement of any matter for which you owe indemnification, and you agree to cooperate with us at your expense. The FYP Parties' indemnification rights do not apply to claims caused by the FYP Parties' own gross negligence or willful misconduct.
15. Disclaimers and Limitation of Liability
15.1 Disclaimers
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FYP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. FYP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, OR THAT ANY EVENT, HOST, GUEST, OR THIRD PARTY WILL PERFORM AS REPRESENTED.
15.2 Assumption of Risk
You attend and host events at your own risk. FYP is not responsible for the conduct, safety, or legality of any event, venue, Host, Guest, or third party. You are responsible for assessing the suitability and safety of any event you attend or host. This Section is in addition to, and does not limit, the assumption of risk and release in Section 13.
15.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FYP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF FYP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
FYP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FYP IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow limitations on certain warranties or damages, so some of the above may not apply to you. The foregoing does not limit liability that cannot be limited under applicable law.
15.4 Time-Limited Claims
Any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the claim arose, or it is permanently barred, except where applicable law prohibits a contractual limitations period.
16. Dispute Resolution; Binding Arbitration; Class Waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND FYP TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS AS DESCRIBED IN SECTION 16.1.
16.1 Your Right to Opt Out of Arbitration
You may opt out of this Section 16 (Dispute Resolution; Binding Arbitration; Class Waiver), including the agreement to arbitrate and the class action waiver, by notifying FYP in writing within thirty (30) days of the date you first accept these Terms or first create your account, whichever is earlier. To opt out, email support@findyourpeople.co with the subject line "Arbitration Opt-Out" and include your name, the email address and/or phone number associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. This is the only way to preserve your right to litigate a Dispute in court. If you opt out, the agreement to arbitrate and the class action waiver in this Section will not apply to you, and any Dispute will instead be resolved in court in accordance with Section 19.1 (Governing Law and Venue). Opting out of arbitration has no effect on any other provision of these Terms or on any other agreement between you and FYP, and will not affect your ability to use the Service.
16.2 Informal Resolution
Before filing a claim, you and FYP agree to try to resolve the dispute informally. You must send a written notice describing the dispute, your contact information, and the relief requested to support@findyourpeople.co and See You There LLC, d/b/a Find Your People, 8 The Green, Suite A, Dover, DE 19901, Attn: Legal. The parties will negotiate in good faith for at least sixty (60) days from receipt of the notice.
16.3 Binding Arbitration
If the dispute is not resolved informally, you and FYP agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, and not in court. The arbitrator (and not a court) decides issues of arbitrability, scope, and enforceability of this Section. The Federal Arbitration Act governs this Section.
16.4 Carve-Outs
Either party may bring (a) an individual action in small-claims court for a Dispute that qualifies, and (b) an action in court to enjoin actual or threatened infringement or misappropriation of intellectual-property rights. Nothing in this Section prevents either party from seeking interim or provisional relief in aid of arbitration.
16.5 Class Action Waiver
YOU AND FYP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
16.6 Mass Arbitration
If twenty-five (25) or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, the parties will work with AAA to batch the demands into groups of no more than fifty (50), and arbitrate one group at a time. Filing fees, hearing schedules, and time bars are tolled while batching is in process.
16.7 Fees and Location
Each party will pay its own arbitration fees as set forth in the AAA rules, except where the rules or applicable law require FYP to pay more. Arbitration will be conducted by video, by telephone, or in writing where possible; if an in-person hearing is required, it will take place in the U.S. county where you live, unless the parties agree otherwise.
16.8 Right to Reject Future Changes
If we materially change this Section in the future, you may reject the change by emailing support@findyourpeople.co within thirty (30) days of the change's effective date, in which case the version of this Section in effect immediately before the change will continue to apply to disputes between you and FYP.
16.9 Severability
If any portion of this Section is held unenforceable, the remainder will remain in effect, except that the Class Action Waiver is non-severable as to claims for public injunctive relief; if it is held unenforceable as to any claim, that claim alone will be severed and proceed in court.
17. Suspension and Termination
We may suspend or terminate your access to all or part of the Service at any time, with or without notice, including if we believe you have violated these Terms or applicable law, or to protect the safety, security, or integrity of the Service or its users. You may stop using the Service at any time and may delete your account through the in-app controls. Sections that by their nature should survive termination will survive, including Sections 3 (for amounts owed), 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 18, and 19.
18. Export Controls and Sanctions
You represent that you are not located in, ordinarily resident in, or a national of any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list (including the OFAC SDN List or the Denied Persons List). You agree not to use the Service in violation of U.S. export-control or sanctions laws.
19. Governing Law and General Provisions
19.1 Governing Law and Venue
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. For any Dispute not subject to arbitration, the parties consent to exclusive jurisdiction in the state and federal courts located in New Castle County, Delaware, and waive any objection to that venue.
19.2 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service before they take effect.
19.3 Force Majeure
FYP will not be liable for delay or failure in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil disturbances, labor disruptions, internet or utility outages, or governmental action.
19.4 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, or sale of assets.
19.5 Entire Agreement; Severability; No Waiver
These Terms, together with any policies referenced here, are the entire agreement between you and FYP on this subject and supersede prior agreements. If any provision is held unenforceable, the remainder will remain in effect. Our failure to enforce a right is not a waiver.
19.6 Apple App Store Terms
If you access the Service through an Apple-Enabled application, the following also applies: these Terms are between you and FYP, not Apple; FYP, not Apple, is solely responsible for the application and its content; Apple has no obligation to provide maintenance or support; in the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any), and to the maximum extent permitted by law Apple has no other warranty obligation; Apple is not responsible for product or claim-related liability; and Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you.
19.7 Google Play Terms
If you access the Service through Google Play, you also agree to comply with Google Play's terms, and you acknowledge that Google has no responsibility for the Service.
19.8 Notices
