Host Agreement

This Host Agreement ("Agreement") is between you and See You There LLC, d/b/a Find Your People ("FYP," "we," "us," or "our") and supplements our Terms of Service. It governs your use of the FYP Service to create, host, and sell tickets to events. By creating an event, enabling payments, or otherwise acting as a Host on the Service, you accept this Agreement in addition to the Terms of Service. Capitalized terms not defined here have the meanings given in the Terms of Service.

This Agreement contains important terms about how and when you receive payouts, including a reserve hold of a portion of your earnings for up to 90 days. Please review Section 5 carefully.

1. Eligibility and Acceptance

1.1 Host Eligibility

To act as a Host you must (a) be at least 18 years old; (b) have the legal capacity to enter into a binding contract; (c) maintain an active FYP account in good standing; (d) successfully complete identity verification (KYC) and beneficial-ownership verification (KYB) as required by our payment processor; and (e) agree to and comply with the Stripe Connected Account Agreement and Stripe Services Agreement.

1.2 Acceptance

You accept this Agreement when you take any of the following actions: enabling payments on your account, creating a paid event, or accepting a payout from FYP. If you do not agree to this Agreement, do not act as a Host on the Service.

2. The Stripe Connected Account

2.1 Required for Payouts

To accept payments and receive payouts, you must create and maintain a connected payment account with our payment processor (currently Stripe). FYP, not Stripe, is responsible for the FYP Service. Stripe is responsible for the operation of your connected account and may impose its own terms, fees, identity-verification requirements, and account restrictions.

2.2 Accurate Information

You agree to provide and maintain accurate, current, and complete information for your connected account, including legal name, business entity (if any), tax identification number, banking information, and beneficial ownership details. We may suspend payouts if your information is incomplete, inaccurate, or fails verification.

3. FYP Service Fees and Pricing

3.1 Service Fees

FYP charges service fees on each paid ticket sold through the Service. Current fees are described in your Host dashboard and on our website. Service fees are non-refundable in the event of host-initiated cancellations or refunds, except as set forth in Section 6 below or as required by applicable law.

3.2 Pricing Display

FYP and Hosts will display the total price of any paid ticket (including all mandatory FYP service fees and Host-set mandatory fees) at the point at which the price is first shown to a Guest, in compliance with applicable pricing-disclosure laws.

3.3 Service Fee Pass-Through

By default, FYP service fees are presented to and paid by the Guest in addition to the ticket price (the "Total Price"). The Host receives the ticket price net of payment-processing fees. FYP may, in the future, offer Hosts the option to absorb service fees instead; such alternative will be disclosed in the Host dashboard if and when offered.

4. Payout Schedule

4.1 Standard Payout Timing

Subject to Section 5 (Reserve), Sections 6 (Refunds) and 7 (Chargebacks), and the rest of this Agreement, FYP initiates a payout of your net ticket sale proceeds approximately seven (7) days after the scheduled end time of the corresponding event. Net proceeds equal gross ticket sales minus (a) processed refunds, (b) FYP service fees, (c) payment-processing fees, and (d) the Reserve described in Section 5. Funds typically arrive in your bank account within several additional business days, subject to your bank and Stripe's processing times.

4.2 Conditions for Payout

We may delay, reduce, withhold, offset, or reverse any payout if we reasonably believe (a) the event has been or will be cancelled, postponed, materially altered, or fraudulent; (b) there is a meaningful risk of refunds, chargebacks, fraud, or unauthorized activity; (c) you have violated this Agreement, the Terms of Service, the Community Guidelines, or applicable law; (d) Stripe has placed a hold or restriction on your connected account; or (e) we are required to do so by law, court order, or payment-network rule.

4.3 Disabled Connected Account

If your Stripe connected account becomes disabled, deauthorized, or loses the ability to receive transfers, FYP will pause payouts for your events until the account is restored. Funds remain on FYP's books during the pause; we do not forfeit your earnings.

5. Reserve

5.1 Reserve Hold

To protect FYP, Guests, and other Hosts against chargebacks, refunds, fraud, and host non-performance, FYP withholds a portion of each payout as a reserve (the "Reserve") and releases it to you on a delayed schedule. As of the date above, the Reserve rate is twenty percent (20%) of net payout for each event, and the Reserve hold period is ninety (90) days from the date the Reserve is created. After the hold period expires, FYP will release the Reserve amount to your connected account on a first-in, first-out basis, subject to Sections 6, 7, and 9.

5.2 Reserve Display

Your Host dashboard displays your Reserve balance and the schedule on which Reserve amounts are expected to release.

5.3 Right to Adjust Reserve

FYP may, in its reasonable discretion, increase or decrease the Reserve rate or hold period for your account based on factors including chargeback history, refund rate, dispute rate, account age, lifetime volume, fraud signals, and category of events. We will notify you of any change to your Reserve rate or hold period through the Service. Any change applies prospectively to Reserves created after the change.

5.4 Consumption of Reserve

FYP may use Reserve amounts to satisfy any of the following: (a) refunds we issue under Section 6; (b) chargebacks for which you are responsible under Section 7; (c) fees owed by you to FYP or Stripe; (d) taxes we are required to withhold; (e) amounts owed under your indemnification obligations in Section 11; and (f) any other amounts you owe to FYP. If your Reserve balance is insufficient to cover the amount owed, you remain liable for the deficiency, and we may set it off against future payouts or pursue other lawful remedies under Section 9.

5.5 Reserve and Clawback Authorization

You authorize FYP to retain a Reserve balance from your ticket sale proceeds as described in Sections 5.1 through 5.4. The Reserve secures FYP's ability to issue refunds, process chargebacks, cover disputes, and address fraud-related losses without requiring separate authorization for each instance. Without limiting Section 9 (Setoff and Recovery Rights), you further authorize FYP to deduct from your pending payouts and/or Reserve balance: (a) refunds processed under your refund policy or under FYP's discretionary refund authority described in Section 6.8; (b) chargeback losses and associated fees; (c) Stripe processing fees on refunded transactions; (d) costs of dispute response; and (e) any amounts FYP is required to remit to Guests by law or by Apple or Google platform policy. If your pending payouts and Reserve are insufficient to cover such amounts, you remain personally liable for the balance, and FYP may pursue collection through lawful means, including those described in Section 9.

6. Refunds

6.1 Refund Policy Selection

When you create a paid event, you select a refund policy from the options FYP makes available, which currently include: (a) Platform Default — refunds available to Guests up to twenty-four (24) hours before event start; (b) No Refunds Within Seven (7) Days of Event Start; or (c) All Sales Final. The selected policy is applied to attendee-initiated refund requests.

6.2 Platform-Level Cutoffs

Regardless of the policy you select, FYP enforces the following platform-level cutoffs on attendee-initiated refunds: refunds are not available within twenty-four (24) hours before scheduled event start; refunds are not available after the event has begun; and refunds within seven (7) days following the event end may require FYP administrative review. These cutoffs are designed to manage chargeback exposure and may be updated from time to time.

6.3 Host-Initiated Refunds

You may issue refunds to Guests of your event at any time through the Host dashboard, subject to the post-payout administrative-review window in Section 6.2. Host-initiated refunds reduce your net payout for the affected event and may be debited from current or future payouts or from your Reserve.

6.4 FYP-Initiated Refunds

FYP may, in its reasonable discretion and on your behalf, issue refunds to Guests under the platform-level refund rules and FYP-initiated refund circumstances described in Section 4.2 of the Terms of Service (such refunds, "Platform Refunds"), including without limitation cancellations, material misrepresentation, fraud signals from our payment processor or fraud-detection systems, or legal requirements. You agree that Platform Refunds may be deducted from current or future payouts, satisfied from your Reserve, or recovered through other lawful means.

6.5 Service Fees on Refunds

For host-initiated refunds and refunds requested by Guests under your refund policy, FYP service fees are non-refundable. For Platform Refunds initiated by FYP due to event cancellation, fraud, or violations of this Agreement, FYP may, in its discretion, refund the FYP service fee to the Guest, and the cost of doing so may be charged to you.

6.6 Force Majeure — Host Rights and Duties

If you are unable to deliver your event due to force majeure (including, without limitation, severe weather, natural disaster, government action, venue closure, illness, or other circumstances beyond your reasonable control), you may cancel your event without penalty to your standing on the Service, provided you notify FYP and your Guests promptly. In such circumstances, all Guests will receive a full refund including fees in accordance with the Terms of Service and this Agreement. Your transfer payout for that event will be reversed to the extent necessary to effect those refunds. FYP may, in its discretion, waive Reserve impact or future-event restrictions when force majeure is clearly documented.

6.7 Postponement Duties

If you change your event's start time by more than twenty-four (24) hours from the originally listed start time, you must (a) notify all Guests of the change through the Service or as otherwise required by FYP; (b) honor any refund requests submitted within seven (7) days of the date of the change regardless of your normal refund policy; and (c) reschedule the event within ninety (90) days of the original scheduled date. If you cannot reschedule within ninety (90) days, you must refund all remaining Guests in full, including fees, in accordance with the applicable Terms of Service and FYP's refund mechanics.

6.8 FYP Discretionary Refund Authority

You acknowledge that FYP may, at its sole discretion, refund Guests outside your stated refund policy in cases of fraud, non-performance, material misrepresentation, repeated quality or safety complaints, or other circumstances FYP determines warrant a refund. You authorize FYP to recover such refund amounts from your pending payouts and/or Reserve balance. FYP will provide reasonable notice of discretionary refunds and the basis for them when practicable.

7. Chargebacks

7.1 Host Responsibility

You are financially responsible for any chargeback initiated by a Guest of your event, including the disputed transaction amount and any chargeback fees imposed by the payment processor or card networks. We may, but are not required to, contest a chargeback on your behalf and may request information from you to support the response.

7.2 Recovery

We may recover chargeback amounts from current payouts, future payouts, your Reserve, or any other amount we hold for you. If recovery exceeds your available balance and Reserve, you remain liable for the deficiency.

7.3 Chargeback Rate Monitoring

If the chargeback rate on your events exceeds thresholds set by FYP, the card networks, or our payment processor, we may (a) increase your Reserve rate or hold period; (b) require additional verification or documentation; (c) suspend your ability to publish new paid events; or (d) terminate your access to paid features.

8. Taxes

8.1 Host Responsibility

You are solely responsible for determining, collecting, reporting, and remitting any sales, use, value-added, amusement, occupancy, or other taxes arising from your events and ticket sales, except where FYP is required by applicable marketplace-facilitator laws to collect and remit such taxes on your behalf. You are solely responsible for reporting and paying all federal, state, and local taxes on income you earn through the Service. FYP does not withhold income taxes from your payouts except where required by law (for example, backup withholding).

8.2 1099-K Reporting

Where required by applicable law, FYP, through Stripe, will issue Form 1099-K (or other applicable tax forms) reporting your gross payment volume processed through your account, in accordance with applicable Internal Revenue Service thresholds (including, for calendar year 2026, twenty thousand U.S. dollars ($20,000) in gross volume and two hundred (200) transactions, subject to legislative or regulatory change). You are responsible for reviewing tax forms for accuracy and for filing your own returns. FYP may withhold or report amounts to taxing authorities where required by law. You agree to provide accurate tax information (including a valid taxpayer identification number) during host onboarding and to update it as necessary. Failure to provide accurate tax information may result in payout suspension or backup withholding as required by law.

8.3 Tax Information

You agree to provide and maintain accurate tax-identification information and to update such information promptly when it changes.

9. Setoff and Recovery Rights

You expressly authorize FYP to set off any amount you owe FYP — including without limitation refunds, chargebacks, chargeback fees, indemnification obligations, taxes, FYP service fees, fines, and other amounts — against any current or future payout, Reserve, or other balance owed to you, whether arising from the same event or any other event on the Service. If your balances and Reserve are insufficient, you agree to pay any deficiency on demand. We may pursue any other lawful means of recovery, including referral to collections.

10. Prohibited Transactions and Event Conduct

10.1 Prohibited Transactions

You may not use the Service to sell tickets to or facilitate any of the categories listed in Section 3.6 of the Terms of Service, including without limitation cannabis, firearms, gambling, sex work, securities, or counterfeit goods.

10.2 Event Conduct

You are solely responsible for the safety, legality, and conduct of your events, including all licenses, permits, age verification, alcohol service, and compliance with applicable law. FYP does not verify attendee age or eligibility and does not enforce any restriction at any event.

10.3 Accurate Listings

You agree to list events accurately, including descriptions, dates, times, locations, capacities, and any restrictions or hazards. Material misrepresentation in an event listing is grounds for cancellation, refund of all sales (whose cost may be charged to you), and termination of this Agreement.

11. Indemnification

You agree to defend, indemnify, and hold harmless FYP and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your events; (b) your User Content; (c) any chargeback, refund, or tax obligation arising from your events; (d) your violation of this Agreement, the Terms of Service, the Community Guidelines, or applicable law; (e) injury, illness, or property damage at your events; or (f) any dispute between you and a Guest. This indemnification is in addition to and not in lieu of the indemnification in the Terms of Service.

12. Suspension and Termination

12.1 Suspension

FYP may suspend your ability to host events, accept payments, receive payouts, or access the Service at any time if we reasonably believe you have violated this Agreement, the Terms of Service, the Community Guidelines, or applicable law, or if necessary to protect FYP, Guests, or the Service.

12.2 Termination

Either party may terminate this Agreement at any time. FYP may terminate immediately upon any material breach by you. You may terminate by removing all paid events from the Service, ceasing to act as a Host, and emailing support@findyourpeople.co.

12.3 Post-Termination

Termination does not relieve you of (a) liability for chargebacks, refunds, taxes, or other amounts owed to FYP or Guests; (b) Reserve obligations, which continue until the Reserve hold period expires and any outstanding amounts are resolved; (c) confidentiality and indemnification obligations; or (d) any provision of this Agreement that by its nature should survive termination, including Sections 5, 7, 8, 9, and 11.

13. General Provisions

13.1 Relationship

You and FYP are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and FYP, except that FYP acts as your limited payment agent solely for the purpose of accepting and remitting funds from Guests as described in the Terms of Service.

13.2 Changes to This Agreement

FYP may update this Agreement from time to time. If we make material changes, we will provide notice through the Service or by email at least thirty (30) days before the changes take effect. Your continued use of the Service as a Host after the effective date constitutes your acceptance of the updated Agreement.

13.3 Governing Law and Dispute Resolution

This Agreement is governed by the same governing-law and dispute-resolution provisions as the Terms of Service, including without limitation the binding arbitration agreement and class-action waiver in Section 16 of the Terms of Service.

13.4 Conflict

In the event of a conflict between this Agreement and the Terms of Service with respect to host-specific obligations, this Agreement controls.

13.5 Entire Agreement

This Agreement, together with the Terms of Service, the Community Guidelines, the Privacy Policy, and any policies referenced in any of them, constitutes the entire agreement between you and FYP with respect to acting as a Host on the Service, and supersedes any prior agreements on the subject.
